Introduction
These Terms and Conditions govern your use of Invoyse, a product of Bit Collective Limited. By using our services, you agree to be bound by these terms. Please read them carefully before using Invoyse.
1. Use of Services
You agree to use Invoyse in compliance with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account information and are liable for all activities that occur under your account.
2. Account Registration
To use our services, you must register an account by providing accurate and complete information. You are responsible for keeping your account details up to date.
3. Fees and Payments
Invoyse offers subscription-based services with different pricing plans. You agree to pay the applicable fees for your chosen plan. We reserve the right to modify our pricing and payment terms, which will be communicated to you in advance.
4. Subscription Terms
4.1. Plans
Invoyse is offered on a free plan and on paid subscription plans, currently Basic, Pro, and Custom. The features and usage limits of the free plan, and the features, limits, and prices of each paid plan, are described on our pricing page and may be updated from time to time. The billing terms in this section apply only to paid plans.
4.2. Billing cycle
Paid plans are billed in advance on a recurring basis, either monthly or annually, depending on the cycle you select at sign-up. Your subscription begins on the date your first payment is processed.
4.3. Automatic renewal
Your subscription renews automatically at the end of each billing cycle at the then-current price, unless you cancel before the renewal date. By subscribing, you authorise us, or the relevant app store where you subscribe through one, to charge your payment method for each renewal until you cancel.
4.4. Payment methods
Depending on how you access Invoyse, subscription payments are processed either through our web checkout at pay.invoyse.com or through the app store from which you downloaded the app (the Apple App Store or Google Play). Where you subscribe through an app store, your purchase is also subject to that store's terms, the subscription is billed to your app store account, and all billing, renewals, price changes, cancellations, and refund requests for that subscription are managed by the store in accordance with its own policies. You must manage any app-store subscription through your app store account settings; we are unable to process those changes on your behalf.
4.5. Free trials
Where we offer a free trial, your subscription will automatically convert to a paid plan at the end of the trial period unless you cancel before it ends. We may modify or withdraw free trial offers at any time.
4.6. Upgrades and downgrades
You may change your plan at any time. For subscriptions purchased through our web checkout, upgrades take effect immediately and you will be charged the prorated difference for the remainder of the current cycle, while downgrades take effect at the start of your next billing cycle. For subscriptions managed through an app store, plan changes are handled in accordance with that store's rules, which may differ from the above.
4.7. Price changes
We may change subscription prices from time to time. We will give you reasonable advance notice of any price increase, which will apply from your next renewal. Your continued use of the service after the change takes effect constitutes acceptance of the new price. Where your subscription is billed through an app store, any price change will also be subject to that store's notification and consent process.
4.8. Cancellation
You may cancel your subscription at any time. Cancellation stops future renewals; your access to paid features continues until the end of the period you have already paid for. For subscriptions purchased through an app store, you must cancel through that store's account settings, and cancellation takes effect in accordance with the store's policies.
4.9. Refunds
Except where required by applicable law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or features not used. Where your subscription was purchased through an app store, refunds are handled solely by that store under its own refund policy, and any refund request must be made to the store directly.
4.10. Failed payments
For subscriptions billed through our web checkout, if a payment fails we may retry the charge and reserve the right to suspend, downgrade, or restrict your access to paid features until payment is successfully collected. For subscriptions billed through an app store, failed payments and retries are handled by that store, and access may be suspended or downgraded where the store does not collect payment.
4.11. Taxes
Subscription fees are exclusive of any applicable taxes, including Value Added Tax (VAT), unless stated otherwise. Where required by law, we will add applicable taxes to your invoice. Where your subscription is purchased through an app store, applicable taxes are collected and remitted by the store as part of its checkout.
4.12. Free plan
We may modify, limit, or discontinue the free plan at any time. Where reasonable, we will give notice before making material changes that affect existing free-plan users.
5. Intellectual Property
All content and materials on Invoyse, including trademarks, logos, and software, are the property of Bit Collective Limited. You are granted a limited, non-exclusive licence to use the platform in accordance with these terms. Where you download Invoyse from an app store, your use of the app is also governed by that store's licensing terms. In the case of the Apple App Store, unless we provide our own end user licence agreement, your licence to use the app is subject to Apple's standard Licensed Application End User Licence Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. Where those store terms conflict with the licence granted above, the store's terms apply to your use of the app obtained through that store. You agree not to copy, modify, reverse engineer, or distribute any part of the platform except as expressly permitted by these terms or the applicable store terms.
6. Termination of Service
We reserve the right to suspend or terminate your account if you violate these Terms and Conditions or engage in any fraudulent or illegal activity. Upon termination, your access to the platform will be revoked.
7. Limitation of Liability
To the maximum extent permitted by law, Bit Collective Limited will not be liable for any indirect, incidental, or consequential damages arising from your use of Invoyse.
8. Governing Law
These Terms and Conditions are governed by the laws of Nigeria. Any disputes arising from these terms will be subject to the jurisdiction of the courts in Lagos, Nigeria.
9. Changes to the Terms and Conditions
We may update these Terms and Conditions from time to time. Any changes will be communicated to you, and your continued use of Invoyse signifies your acceptance of the updated terms.
